Terms of Service

Article 1 (General Provisions)

These Terms of Service (hereinafter referred to as "Terms") set forth the conditions for use of Suidasu (hereinafter referred to as "Service") provided by PRODUS Inc. (hereinafter referred to as "Company").

Registered users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms. By using the Service, Users are deemed to have agreed to these Terms.

Article 2 (Definitions)

The following terms used in these Terms shall have the meanings defined below:

• "Service" means the AI data extraction service "Suidasu" provided by the Company. It is a service that extracts data from images using OCR (Optical Character Recognition) and image recognition technology.
• "User" means an individual or corporation that registers for and uses the Service.
• "Administrator" means a User who has the authority to create projects, define data layouts, manage operators, etc.
• "Operator" means a person who uses an account created by an Administrator to upload images from mobile apps, etc.
• "Data Layout" means the configuration of extraction fields defined by the User.
• "Extraction" means the process of reading data from images using the Service.

Article 3 (Company Information)

Article 4 (Registration)

Those who wish to use the Service shall apply for registration in the manner prescribed by the Company after agreeing to these Terms. Upon completion of registration and email verification, a 14-day free trial will begin.

The Company may refuse registration in any of the following cases:

• If the applicant has previously violated these Terms
• If there are false statements, errors, or omissions in the registration information
• If the Company determines that the applicant is or has a relationship with anti-social forces
• If the Company otherwise determines that registration is not appropriate

The Service is intended for persons 18 years of age or older. Persons under 18 may not use the Service without parental consent.

Article 5 (Account Management)

Users shall properly manage their email address and password for the Service at their own responsibility.

Users may not transfer or lend account information to third parties under any circumstances. However, Operator accounts created by Administrators may be used within the organization under the Administrator's responsibility.

The Company shall deem that the use is by the User if the email address and password combination matches the registered information. The Company shall not be liable for any damages caused by unauthorized use.

Article 6 (Service Description)

The Service provides the following features:

• OCR Mode: Recognize text in images and extract as structured data
• Image Recognition Mode: Extract visual information from images without text
• Custom Data Layouts: Freely define extraction fields
• Recipe Generation: AI automatically generates layouts from sample images/PDFs (Standard/Pro plans only, up to 50 times per day)
• Data Export: Download in CSV and Excel formats
• API Integration: Integration with AI agents via MCP (Model Context Protocol) (Pro plan only)

Supported file formats and size limits are as follows:

• Supported image formats: JPEG, PNG, GIF, WebP, HEIC, BMP, TIFF
• Supported video formats: MP4
• Maximum file size: 7MB

Article 7 (Fees and Payment)

The pricing structure of the Service is as follows. All prices include tax.

Payment terms are as follows:

• Payment method is credit card only (payment processing by Stripe)
• Contracts are automatically renewed monthly from the contract date
• Upgrades to higher plans are applied immediately and billed on a prorated basis
• Downgrades and cancellations will be applied from the next billing cycle
• After the Trial plan expires (14 days or 30 uses, whichever comes first), the service will be suspended. To continue using the service, you must select a plan and register a payment method
• When upgrading to a paid plan during the Trial period (within 14 days and before using all 30 extractions), unused Trial extractions are carried over to the paid plan with no expiration. However, if upgrading after the Trial expires (14 days elapsed or 30 extractions used), no bonus is carried over

Article 8 (Measures for Non-Payment)

In case of payment delay, the following measures may be taken:

• Automatic retry 1, 3, and 5 days after payment failure
• Warning email sent after 7 days of non-payment
• Service restricted after 14 days of non-payment (view data only, no new extractions)

Service will be restored immediately upon payment completion.

Article 9 (Operator Accounts)

Administrators may create Operator accounts on the Service and grant image upload permissions via mobile app to workers within their organization.

Administrators are responsible for managing the Operator accounts they create and are liable for any violations of these Terms by Operators.

Article 10 (API Usage)

Pro plan Users may issue API keys and use the Service features through MCP (Model Context Protocol).

When using the API, Users shall comply with the following:

• Manage API keys securely and do not disclose them to third parties
• Do not place excessive load on the Service through API usage
• Do not resell services using the API to third parties
• Comply with the API usage guidelines established by the Company

Article 11 (Use of AI Technology)

The Service uses external AI technology for data extraction processing. Files uploaded by Users are processed by AI models.

Files uploaded by Users and extracted data are not used for training or improving AI models by the Company or AI service providers.

AI extraction results are not guaranteed to be 100% accurate. We recommend verifying extraction results for critical business use.

The confidence score (read accuracy) is a value self-evaluated by the AI. Layout fields not present in the image are excluded from the calculation. For multi-record extractions, the confidence is calculated as the average of all records. Extractions with a confidence below 70% are not subject to billing.

Article 12 (Prohibited Activities)

Users shall not engage in any of the following activities when using the Service:

• Activities that violate laws or public order and morals
• Activities related to criminal acts
• Activities that destroy or interfere with the functions of the Service's servers or networks
• Activities that may interfere with the operation of the Service
• Collecting or accumulating personal information about other Users
• Unauthorized access or attempts thereof
• Impersonating other Users
• Providing benefits directly or indirectly to anti-social forces in connection with the Service
• Activities that infringe on the intellectual property rights, privacy rights, or other rights of third parties
• Uploading illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable content
• Other activities that the Company deems inappropriate

Article 13 (Data Handling)

Images and extracted data uploaded by Users are stored indefinitely on the Company's servers as long as the account is active. However, for free plan members, data may be deleted if there has been no login for one year.

The Company may access User data for the purpose of providing, improving, and supporting the Service. However, data will not be disclosed to third parties without the User's explicit consent (except as required by law).

Users warrant that they will handle uploaded images and extracted data lawfully and appropriately in accordance with the Act on the Protection of Personal Information, the Act on the Use of Numbers to Identify a Specific Individual in Administrative Procedures (My Number Act), and other applicable laws.

Users acknowledge that, under the Act on the Protection of Personal Information and the My Number Act, the Company does not acquire personal information or specific personal information, and is not entrusted with processing by the User.

Article 14 (Intellectual Property Rights)

All intellectual property rights related to the Service and all related content (software, design, text, images, etc.) belong to the Company or third parties with legitimate rights.

Users shall only upload content to the Service for which they have the necessary intellectual property rights or have obtained permission from the rights holders. Rights to content uploaded by Users continue to belong to the Users.

Article 15 (Service Suspension/Interruption)

The Company may suspend or interrupt all or part of the Service without prior notice to Users in any of the following cases:

• When performing maintenance or updates to the Service systems
• When it becomes difficult to provide the Service due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters
• When computer or communication line failures, malfunctions, or access concentration occurs
• When the Service is subject to cyber attacks
• When the Company otherwise determines that it is difficult to provide the Service

The Company shall not be liable for any damages to Users or third parties caused by suspension or interruption of the Service.

Article 16 (Account Suspension/Withdrawal/Deletion)

Users may suspend their account at any time through the procedures prescribed by the Company.

In the case of account suspension, even if you have an active paid plan, the plan will not be renewed after the current billing period ends. If you reactivate your account before the billing period ends, the plan will continue.

Users may delete their account at any time through the procedures prescribed by the Company.

In the case of account deletion, even if you have an active paid plan, deletion is immediate. No refunds will be provided for the remaining days of the paid plan.

After account deletion, User data will be retained for 90 days before being permanently deleted.

Article 17 (Disclaimer)

The Company does not warrant, either expressly or impliedly, that the Service is free from defects (including defects related to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors, bugs, infringement of rights, etc.).

The Company does not guarantee the accuracy of AI data extraction results. Use of extraction results is at the User's own responsibility.

The Company shall not be liable for any damages arising from the Service to Users, except in cases of intentional misconduct or gross negligence on the part of the Company.

The Company shall not be liable for any transactions, communications, or disputes between Users and other Users or third parties.

Article 18 (Damages)

The Company's liability for damages to Users in connection with the Service shall be limited to the total amount of usage fees paid by the User to the Company in the preceding 12 months, except in cases of intentional misconduct or gross negligence.

If a User violates these Terms and causes damage to the Company, the User shall be liable to compensate the Company for such damage.

Article 19 (Changes to Terms)

The Company may change these Terms without obtaining the consent of Users when deemed necessary.

The revised Terms shall take effect when displayed on the Company's website. Important changes will be notified through in-service notifications or email. Continued use of the Service after such changes constitutes acceptance of the revised Terms.

Article 20 (Severability)

If any provision or part thereof of these Terms is determined to be invalid or unenforceable under the Consumer Contract Act or other laws, the remaining provisions of these Terms and the remaining parts of any provision determined to be partially invalid or unenforceable shall continue to have full force and effect.

Article 21 (Governing Law and Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan.

Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
